Sertipikasyon ng B Corp sa Netherlands: ang legal na ruta para sa isang BV

B Corp certification in the Netherlands does not require a new legal form: an ordinary private limited company (BV) meets B Lab’s legal requirement by amending its articles of association. Under Article 2:234 of the Dutch Civil Code (BW) that amendment requires a notarial deed after a resolution of the general meeting, and it is this mission clause in the articles, not the certificate, that has legal effect; Dutch law has no separate “benefit corporation”.

This page explains the difference between certification and legal form, how the amendment of the articles works, what the mission clause should and should not say, how to involve shareholders and investors, and how to communicate the certification without breaching consumer law.

What is the difference between a B Corp and a benefit corporation?

Mga kasamahan na nakikipagtulungan sa isang modernong opisina, na naglalarawan ng negosyong nakatuon sa layunin

A benefit corporation is a statutory legal form that exists in a number of US states and some other countries. A B Corp is a certification awarded by B Lab, a private non-profit organisation, to companies that meet its standards on social and environmental performance, accountability and transparency.

The Netherlands has no benefit corporation. A proposal for a “BV with a social purpose” (BVm) has been discussed but is not law. A Dutch company with a social mission therefore uses an existing legal form: usually a BV, sometimes a cooperative, or a foundation (stichting) where no profit is distributed.

Does Dutch law put shareholders first?

No. Under Article 2:239(5) BW the directors of a BV must be guided by the interest of the company and the enterprise connected with it, and under Article 2:250(2) BW the same applies to supervisory directors.

The Supreme Court (Hoge Raad) has held that this company interest is, as a rule, the sustainable success of the enterprise, and that the board must take account of the interests of all those involved. Shareholders are one of those groups, not the only one. A Dutch director who declines a profitable option because of its effect on employees or the environment is therefore not in breach of duty.

What the B Corp requirement adds is a specific, written and enforceable purpose in place of a general norm. A board can be held to a stated mission much more easily than to an abstract company interest. What does B Lab require?

Magnifying glass sa ibabaw ng mga salitang tao, planeta at tubo, na naglalarawan ng mga haligi ng sertipikasyon ng B Corp.

B Lab revised its standards in 2025. The former model, with a verified score of at least 80 points in the B Impact Assessment, has been replaced by minimum requirements across a set of impact topics, all of which must be met.

Under the new standards a company first completes foundation requirements and a risk profile that determine which requirements apply given its size, sector and structure. Strength in one area no longer compensates for weakness in another, and requirements scale with company size. The legal requirement sits in the topic on purpose and stakeholder governance; that is the part that needs a notary.

Certification is not permanent. Companies recertify every three years and the B Impact Report is published on B Lab’s website. Check the current standards on B Lab’s own website before you start, because B Lab sets and changes them, not Dutch law.

How do you amend the articles of association?

Paglagda ng isang notarial deed upang baguhin ang mga artikulo ng asosasyon ng isang Dutch BV

The general meeting resolves to amend the articles under Article 2:231 BW, and the amendment is then laid down in a notarial deed in Dutch under Article 2:234 BW, on pain of nullity. The notary files the amended articles with the Chamber of Commerce (KVK).

Under Article 2:233 BW the notice of the meeting must state that an amendment is proposed, and a copy of the proposal with the literal text must be available for inspection at the company’s office from the date of the notice. The articles may require a qualified majority or quorum.

Three points are easy to miss. Under Article 2:231(4) BW a resolution that specifically affects the rights of a class of shares needs the approval of the holders of that class. If the company has a works council, the amendment may fall within its advisory right under the Works Councils Act (Wet op de ondernemingsraden) if it is part of an important organisational change. And a shareholders agreement usually contains a reserved matter on amending the articles, so obtain contractual consent before calling the meeting.

The company keeps its identity, KVK number and tax status; only its articles change. Our guides on the mga artikulo ng kapisanan at ang BV bilang ang kompanyang may limitadong pananagutan ng Netherlands itakda ang mas malawak na balangkas.

What should the mission clause say?

B Lab prescribes an outcome, not a text, so the drafting must fit Dutch company law. Three elements normally appear.

  • Layunin. The object clause states that the company, alongside its commercial activities, aims for a positive impact on society and the environment.
  • Tungkulin ng lupon. The directors take account of the consequences of their decisions for shareholders, employees, customers, suppliers, communities and the environment.
  • Pag-uukit. A qualified majority is required to amend these provisions; under Article 2:231(2) BW a provision that restricts amendment can itself only be amended subject to the same restriction.

Entrenchment is the part with real effect and the part most often watered down. A mission clause that a future majority shareholder can delete at will protects nothing, so agree the threshold before you draft the mission.

What does the clause not do?

It does not give employees, communities or environmental organisations a right of action against the board. Claims about directors’ duties run through the company itself, through liability for improper performance of duties under Article 2:9 BW, and through an inquiry before the Enterprise Chamber (Ondernemingskamer) under Article 2:345 BW.

Nor does it shield the board from financial accountability. Directors of a mission-driven BV are subject to the same rules on improper management, filing of annual accounts and liability in bankruptcy as any other board.

Why do Dutch companies seek certification?

Four reasons recur: protecting the mission against a future change of ownership, credible sustainability claims, recruitment, and access to capital and supply chains. The first is the main legal reason, because a clause in the articles stays with the company after a share sale.

Founders who plan to raise capital or sell face a simple problem: whoever holds the shares later can redirect the company. Entrenching the purpose in the articles is the mechanism that survives a change of ownership, which is why many founders start the process at a funding round.

Self-declared sustainability claims carry growing legal risk under the rules on unfair commercial practices in Articles 6:193a-6:193j BW, and EU rules on empowering consumers for the green transition further restrict generic environmental claims and self-made labels from autumn 2026. A third-party certification based on a published assessment is one of the few claims that is neither generic nor self-made. Impact funds and procurement processes increasingly screen for such standards.

Does certification replace sustainability reporting?

No. The Corporate Sustainability Reporting Directive (CSRD) is a separate legal duty for large undertakings, and its scope has been narrowed by recent EU simplification, so most Dutch companies seeking certification fall outside it.

Certification does create data discipline: a company that has measured its emissions, mapped its supply chain and documented employment practices has done much of the work a reporting duty or a customer questionnaire will ask for. Our article on Regulasyon ng ESG sa 2026 sets out which obligations apply to whom.

How do you get shareholders and investors on board?

A mission lock limits what future shareholders can do with the company, so discuss it openly. Under Article 2:231(4) BW holders of a share class whose rights are specifically affected must approve the amendment.

Existing shareholders usually support a decision already taken; the issues are the precise purpose, whether entrenchment covers both the object clause and the board duty, and whether a dissenting shareholder has an exit. With incoming investors, timing decides the outcome: raised in the term sheet, the mission lock is a feature of the company; raised during documentation, it becomes a concession. A clause requiring the board to consider stakeholders is workable; a clause requiring it to put stakeholders above returns in all circumstances is not.

Minority shareholders deserve attention, because a purpose clause can affect the value of a minority stake. See our articles on mga shareholder ng minorya at mga pagtatalo sa shareholder.

What is the route from a standard BV to certification?

Checklist sa isang clipboard na kumakatawan sa mga hakbang patungo sa sertipikasyon ng B Corp
  1. Assess where you stand. Use B Lab’s assessment tool against the current standards to see which requirements you do not yet meet; gaps are usually in documentation and measurement.
  2. Close the operational gaps. Formalise employment policies, measure emissions, map the supply chain and set up a grievance procedure that fits the Whistleblowers Protection Act (Wet bescherming klokkenluiders) and the works council’s rights.
  3. Amend the articles. Draft early: shareholder consent, the shareholders agreement, the works council and the entrenchment threshold take time; the notarial deed itself is quick.
  4. Verify, sign and publish. B Lab reviews the evidence, the company signs B Lab’s agreement and the impact report is published.
  5. Panatilihin ito. Assign the file to a named person, keep the data current and let the board report annually against the mission clause, with recertification every three years.

Which alternatives lock in a purpose?

A trust office foundation (stichting administratiekantoor) that issues depositary receipts separates economic rights from control and is the classic Dutch protective instrument. It is stronger than a mission clause and more restrictive for shareholders.

A foundation holding a priority share with a veto over amendments to the articles also secures the purpose without an external standard, and a cooperative gives members a structural voice. A shareholders agreement is cheaper but binds only its parties and does not travel with the shares. Our mga gabay sa batas ng korporasyon at ang aming artikulo sa ang mga legal na hakbang mula sa ideya hanggang sa BV cover these structures.

How do you communicate the certification safely?

Say what the certification is, not what it implies. Under Article 6:193j BW the trader bears the burden of proving that the information in a commercial practice is materially correct and complete.

Stating that the company is a certified B Corp, with the year and a link to the impact report, is accurate and verifiable. Claiming that the company is therefore “sustainable” or “climate neutral” is a generic claim the certification does not support on its own; read our article on greenwashing at pagsunod sa ESG. Do not use the certification for a specific product unless the assessment covered it, and review the wording at every recertification.

If the certification lapses, stop using the mark immediately: continuing to display it is a misleading commercial practice under Article 6:193b BW. The mission clause in the articles remains in force until it is amended by notarial deed.

What should you check as a founder or board?

  • Does the shareholders agreement contain a reserved matter or consent right for amending the articles?
  • Does the amendment affect the rights of a share class, so that class approval under Article 2:231(4) BW is needed?
  • Does the works council have an advisory right on the change?
  • Which majority will be needed to remove the mission clause in future?
  • Are all public statements about the certification accurate, current and limited to its scope?

Ano ang dapat mong suriin bilang isang shareholder o investor?

  • How precisely is the purpose defined, and does it leave room for normal commercial decisions?
  • Does the entrenchment cover the object clause, the board duty or both?
  • Is there an exit route or valuation mechanism if you disagree with the mission?
  • Does the clause affect your rights as holder of a particular share class?
  • Is the mission lock reflected in the term sheet, not only in later documentation?

What can we do for you with B Corp certification?

Ang aming corporate abugado handle the legal side of purpose-driven governance:

  • We draft the mission clause and the entrenchment provision for your articles of association.
  • We prepare the notice and shareholders’ resolution and coordinate the notarial deed with the civil-law notary.
  • We review the shareholders agreement and the works council position before the amendment.
  • We negotiate the mission lock with incoming investors.
  • We review your certification claims against the rules on unfair commercial practices.

Buod

  • Dutch law has no benefit corporation; a BV becomes eligible for B Corp certification by amending its articles under Articles 2:231-2:234 BW.
  • Dutch directors already serve the interest of the company and its enterprise (Article 2:239(5) BW), not only shareholders.
  • The entrenchment threshold determines how durable the mission lock is.
  • Certification is renewed every three years and does not replace legal reporting duties.
  • Claims about the certification must be accurate; the burden of proof lies with the company (Article 6:193j BW).

Mga madalas itanong

Kailangan ba talagang maging non-profit ang isang B Corp?

No. B Corps are for-profit companies. In the Netherlands a certified B Corp is usually an ordinary BV whose articles of association contain a mission clause.

Does B Corp certification change the legal form or tax position of my BV?

No. The company remains a BV with the same KVK number and tax status. Only the articles of association change, by notarial deed under Article 2:234 of the Dutch Civil Code.

Ano ang mangyayari pagkatapos ng sertipikasyon?

The company recertifies every three years and its B Impact Report is published on B Lab’s website. The mission clause in the articles stays in force even if the certification lapses, until it is amended by notarial deed.

What does B Corp certification cost?

B Lab charges fees that depend on the company’s revenue and sets them itself; check B Lab’s website for the current amounts. Add the costs of the notarial deed and legal advice for the amendment of the articles.
